Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of SmarterContext (the "Service"), operated by ECWE Ventures LLC ("we," "us," or "Company"), a Minnesota limited liability company located at 5700 Wycliffe Rd, Minneapolis, MN 55436.

By creating an account, accessing the Service, or clicking "I agree," you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. The Service

SmarterContext is an AI context optimization platform that provides structured context templates, frameworks, and tools designed to improve the quality of outputs from AI models including Claude, ChatGPT, Gemini, and other AI systems.

The Service is provided for informational purposes only and does not constitute professional, legal, financial, medical, or any other form of licensed advice. You are solely responsible for how you use the outputs generated with our tools.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. We are not responsible for any loss or harm resulting from modifications or discontinuation of the Service.

3. Accounts & Access

To access the Service, you must create an account with accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access at [email protected]

You must be at least 18 years old to create an account. Accounts are non-transferable and may not be shared between individuals unless your subscription tier explicitly permits multiple seats.

4. Billing & Subscriptions

Subscription Plans

The Service is offered as a recurring monthly subscription via Stripe. Current plans:

• Standard: $49/month ($468/year)
• Professional: $99/month ($948/year)
• Enterprise: $249/month

All pricing is displayed at checkout and on the pricing page. By subscribing, you authorize us to charge your payment method on a recurring monthly basis.

Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will not receive a separate renewal notice; the renewal obligation is ongoing from the moment you subscribe.

Cancellation

You may cancel your subscription at any time through your account settings or by emailing [email protected]. Upon cancellation:

• You retain access to the Service through the end of your current billing period
• No further charges will be made
• No prorated refunds are issued for the remaining days in the billing period (see our Refund Policy for exceptions)

Price Changes

We may change subscription pricing with at least 30 days' written notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.

Taxes

All fees are exclusive of applicable taxes. You are responsible for any sales, use, or value-added taxes imposed by your jurisdiction.

Payment Processing

Payments are processed by Stripe, Inc. We do not store full payment card information on our servers. Your use of payment services is subject to Stripe's terms and privacy policy.

5. Free Trials

All subscription plans include a 7-day free trial. During the trial period:

• You have full access to the features of your selected plan
• Your payment method will be authorized but not charged
• If you cancel before the trial ends, you will not be charged
• If you do not cancel, your subscription will automatically convert to a paid plan at the end of the 7-day trial, and your payment method will be charged

Free trials are limited to one per person. We reserve the right to determine trial eligibility and to modify or discontinue trial offers at any time.

6. Intellectual Property

Our IP

The Service, including all software, templates, frameworks, documentation, design, and content created by ECWE Ventures LLC, is and remains our exclusive intellectual property, protected by copyright, trademark, and other applicable laws. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your own internal purposes during an active subscription.

Your IP

You retain full ownership of any content, data, or materials you input into the Service ("User Content"). You grant us a limited license to process and store your User Content solely to provide and improve the Service. We do not claim ownership of your data.

Restrictions

You may not reproduce, distribute, resell, sublicense, reverse-engineer, or create derivative works from the Service or its templates without our express written consent.

7. Your Data

Your User Content belongs to you. We process it only as necessary to deliver the Service. We do not sell your data to third parties. For a full description of how we collect and use data, please review our Privacy Policy.

You are responsible for ensuring your User Content does not infringe third-party rights, violate applicable law, or contain material that violates our Acceptable Use Policy.

8. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation
• Generate, transmit, or store content that is unlawful, harmful, harassing, abusive, defamatory, obscene, or otherwise objectionable
• Infringe the intellectual property rights of any third party
• Attempt to probe, scan, or test the vulnerability of the Service or circumvent any security or authentication measures
• Scrape, crawl, or otherwise extract data from the Service in an automated manner without prior written consent
• Resell, sublicense, or commercially exploit access to the Service without our written permission
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

We reserve the right to suspend or terminate accounts that violate these restrictions, at our sole discretion and without prior notice.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECWE VENTURES LLC DISCLAIMS ALL WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that any specific results will be achieved from use of our context templates. AI output quality depends on third-party models and varies based on numerous factors outside our control.

The content provided through SmarterContext is for informational purposes only and does not constitute professional advice of any kind. You should consult qualified professionals for advice specific to your situation.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECWE VENTURES LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow limitations on implied warranties or exclusions of consequential damages, so the above limitations may not apply to you in full.

11. Termination

Termination by You

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You retain access to the Service through the end of the paid period.

Termination by Us

We may suspend or terminate your account at any time for material violation of these Terms, non-payment, or conduct we determine to be harmful to the Service or other users. In the case of termination for cause, no refund will be issued.

Effect of Termination

Upon termination, your license to use the Service ends immediately. We may retain your data for a reasonable period for legal and business purposes, after which it will be deleted in accordance with our Privacy Policy.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Minnesota, United States, without regard to conflict of law provisions.

Any dispute arising from these Terms or your use of the Service shall first be subject to good-faith negotiation. If not resolved within 30 days, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, on an individual basis. You waive the right to participate in class actions or class-wide arbitration.

We reserve the right to seek injunctive relief in any court of competent jurisdiction to protect our intellectual property rights.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and update the "Effective Date" at the top of this page. Continued use of the Service after a change is posted constitutes acceptance of the revised Terms.

For non-material changes, we may update the Terms without separate notification. We encourage you to review these Terms periodically.
